Part A – Terms of Sale
A1. Seller
Ing. Andrej Šmirala, SUNCOM, registered office: Vajnorská 6/A, 900 28 Ivanka pri Dunaji, Company ID (IČO): 41468074, Tax ID (DIČ): 1039899553, VAT ID (IČ DPH): SK1039899553, entered in the Trade Register of the District Office of Senec, Trade Register No. 140-12299 (Trade Licence No. ŽO-2005/00667/2). Contact: info@pipe-tunes.com, +421 903 500 572 (hereinafter the “Seller”).
A2. Scope and intended customers
- These terms govern the sale of licences for the Pipe-tunes 2.x program (hereinafter the “Program”) and related services (maintenance, renewal, upgrade) via the website pipe-tunes.com.
- Sales are intended exclusively for entrepreneurs and legal entities (hereinafter the “Buyer”). By submitting an order, the Buyer confirms that they are purchasing in the course of their business activity and are not a consumer.
- Relations between the Seller and the Buyer are governed by the Slovak Commercial Code. Consumer protection regulations do not apply.
- The Seller may reject or cancel an order, in particular if the Buyer does not provide a valid Company ID (IČO) or if it is evident that the Buyer is not purchasing as an entrepreneur. The Seller will refund the amount paid within 14 days.
A3. Order and conclusion of the contract
- The Buyer completes the order form on the website, including the business name, Company ID (IČO), address and e-mail address. A company from another EU member state also provides its VAT ID.
- Before submitting the order, the Buyer confirms their agreement with these terms.
- The contract is concluded when the order confirmation is sent by e-mail.
- Before purchasing, the Buyer may try the Program free of charge for 30 days (Article B7) and verify that it suits their needs.
A4. Prices and VAT
- Prices are stated in the price list on the website in euros, excluding VAT. The price valid at the time the order is submitted applies.
- A Buyer with its registered office in Slovakia is charged VAT at the statutory rate.
- A Buyer from another EU member state with a valid VAT ID verified in the VIES system is not charged VAT. The tax is accounted for by the Buyer in its own country (reverse charge). If the VIES system is not available at the time of the order, VAT is charged; after subsequent verification of the VAT ID, the Seller will issue a credit note.
- A Buyer outside the EU is not charged Slovak VAT.
- Discounted prices (additional licence, pack of 5 licences, upgrade from version 1.3.4) apply under the conditions stated in the price list. The upgrade is intended only for owners of a version 1.3.4 licence. The Seller may verify the entitlement and, if it is not met, require payment of the difference up to the full price or cancel the order.
A5. Payment
- The Buyer may pay by payment card via the Stripe service or by bank transfer.
- For payment by bank transfer, the due date is 14 days from the order. The Seller may cancel an unpaid order after the due date.
- The Seller issues the invoice after payment and sends it to the Buyer electronically. The Buyer agrees to this.
A6. Delivery
- The licence key is sent by e-mail to the address given in the order: for card payments usually immediately, for bank transfers after the payment has been credited to the Seller’s account.
- The Program is available for download on the website pipe-tunes.com. No physical delivery (CD, USB key) is provided.
- Delivery is completed by sending the licence key.
A7. Defects and complaints
- The Program is supplied as is, with the functions described in the documentation. The Buyer was able to try it before purchase.
- If the Program does not work in accordance with the documentation, the Buyer shall report this by e-mail with a description of the error. The Seller will remedy the error within a reasonable period, usually by means of an update, or propose another solution.
- If an error that prevents use of the Program cannot be remedied, the Buyer is entitled to a refund of the licence price. The licence thereby terminates.
- The Buyer may not withdraw from the contract merely because they have changed their mind.
A8. Liability
- The Buyer is obliged to check the Program’s results (cutting plans, calculations) before using them in production. The Buyer is responsible for the correctness of the data entered and for decisions made on the basis of the results.
- The Seller is not liable for loss of profit, indirect damage, loss of data or damage caused by incorrect use of the Program.
- The Seller’s total liability for damage is limited to the amount the Buyer paid for the licence concerned. This limitation does not apply to damage caused intentionally.
Part B – Licence Terms (EULA)
This part applies to every user of the Program, including during the trial period. The user confirms it when starting the Program for the first time.
B1. Licence
- The Pipe-tunes 2.x program is a copyright work of the Seller. The Buyer obtains a non-exclusive licence, unlimited in time, to use it for the needs of its company. Neither ownership rights nor copyright pass to the Buyer.
- The licence applies to the version of the Program that the Buyer has and to all 2.x versions released during valid maintenance (Article B5). A new major version (3.0 and higher) is not part of the licence or of maintenance; the conditions for switching to it will be determined by the Seller when it is released. After maintenance ends, the Program continues to work without time limitation.
B2. Computers
- One licence may be activated on 1 computer.
- To use the Program on another computer (for example at home or on a colleague’s computer), an additional licence must be purchased at the price stated in the price list.
- The licence may not be used outside the Buyer’s company, rented out or provided to a third party.
B3. Activation and licence check
- The licence is activated with a licence key via the internet or, without internet access, by means of a licence file.
- Approximately once a month, the Program connects to the licence server to verify the validity of the licence. The Program also checks once a week whether a new version is available.
- If the computer is not connected to the internet, the Program continues to work without restriction.
- During activation and checks, the licence key, the computer code (a derived record from which no information about the computer can be determined), the computer name and the program version are transmitted. They are not used for any purpose other than licence management.
B4. Transfer to another computer
- The licence can be deactivated on one computer and activated on another, for example when a computer is replaced. 2 transfers per year are free of charge.
- If the licence cannot be deactivated on the old computer (hardware failure, reinstallation of Windows) or the transfers have been used up, the Seller will release the computer upon request by e-mail.
- Transfer of the licence to another company is only possible with the Seller’s written consent.
B5. Maintenance (updates and support)
- Every new licence and every upgrade from version 1.3.4 includes 12 months of maintenance. Maintenance includes new versions of the Program released during this period and support by e-mail (info@pipe-tunes.com).
- Maintenance can be extended by a further year at the price stated in the price list. The extension follows on from the end of the previous maintenance period.
- Maintenance is paid per licence. If one licence key covers several licences (for example a pack), maintenance is extended for all of them at once. If the Buyer wishes to have maintenance for only some of the licences, the Seller will split the licence key on request.
- Maintenance can be renewed at the extension price within 3 months after it has ended. After that, it is renewed at the renewal price stated in the price list, which includes 12 months of maintenance from the date of renewal.
- Without valid maintenance the Program continues to work, but new versions released after the end of maintenance cannot be used as full versions.
- The Seller undertakes to support the Program and to release fixes during paid maintenance. The scope and timing of new features are determined by the Seller.
B6. Prohibited conduct
The user may not modify or decompile the Program or the licence file, circumvent its protection, distribute the licence key or resell the Program. In the event of a breach, the Seller may block the licence without any entitlement to a refund of the price.
B7. Trial period and demo mode
- Without a licence, the Program runs for 30 days as a fully functional trial version. The Seller may extend the trial period on request.
- After the trial period, the Program switches to demo mode, in which the optimisation calculates with a random bar length. Results from demo mode must not be used in production.
- The trial version may not be used for commercial work after the trial period has ended and must not be renewed by circumventing the protection.
Part C – Common and Final Provisions
C1. Personal data
The Seller processes the order data and the data referred to in Article B3 in order to process the order, issue the invoice, manage the licence and send maintenance reminders. Details are available on the Privacy policy page. Card payments are processed by Stripe; the Seller does not see the card details.
C2. Governing law and disputes
- The contract is governed by the law of the Slovak Republic, in particular the Commercial Code and the Copyright Act. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
- The parties shall first attempt to settle disputes by agreement. If they do not reach agreement, the dispute shall be decided by the court of the Slovak Republic having subject-matter jurisdiction.
C3. Changes to the terms
The Seller may change these terms. Each order is governed by the terms in force at the time it was submitted. Changes to the terms cannot restrict the Buyer’s rights in respect of licences already purchased.
C4. Effective date
These terms are effective from 28 October 2026. Should any provision be invalid, the remaining provisions shall remain in force.
